1. Acceptance of Terms

By accessing and using the services offered by Zetter (“we,” “our” or “the Company”), operating from Guayaquil, Ecuador, you (“the user” or “client”) expressly and irrevocably accept these Terms and Conditions. If you do not agree with any of the provisions set forth herein, you must refrain from using our services.

These terms constitute a legally binding agreement between Zetter and the user. Continued use of our services implies full acceptance of the terms in force at any given time.

2. Service Description

Zetter is an artificial intelligence agency based in Guayaquil, Ecuador, offering the following services:

Development and implementation of AI-powered chatbots
Design of automated workflows
Creation and deployment of AI agents
Comprehensive business automation
Strategic AI consulting
Custom software development
Landing page design and creation
SEO positioning services

Each service is provided in accordance with the specific commercial proposal agreed upon with the client, which may include scope, deliverables, timeline, and particular conditions.

3. Permitted Use

The user agrees to use our services solely for lawful purposes and in compliance with applicable law. The following is expressly prohibited:

Using the services for illegal, fraudulent activities, or those that infringe on the rights of third parties
Attempting unauthorized access to our systems, servers, or infrastructure
Distributing malware, viruses, or any malicious code through our platforms
Using the services to generate content that promotes hatred, discrimination, or violence
Reverse engineering, decompiling, or extracting the source code of our products without express authorization
Reselling, sublicensing, or redistributing our services without a prior commercial agreement

4. Registration and Account

To access certain services, the user may need to create an account by providing truthful, accurate, and complete information. The user is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.

Zetter reserves the right to suspend or cancel any account that contains false information, has been compromised by third parties, or is being used in violation of these terms.

5. Intellectual Property

All content, source code, designs, trademarks, logos, methodologies, proprietary algorithms, and other elements that are part of Zetter’s services are the exclusive property of the Company, unless otherwise specified in a particular agreement with the client.

In the case of custom software projects, the ownership of intellectual property rights over the final product shall be governed by the provisions set forth in the commercial proposal and the specific contract signed between the parties.

The user does not acquire any ownership rights over Zetter’s pre-existing elements used in the provision of the service, including frameworks, libraries, AI models, and proprietary methodologies.

6. Custom Projects and Payments

Custom development projects are governed by individual commercial proposals detailing scope, deliverables, payment milestones, and estimated timeline. Acceptance of a commercial proposal by the client constitutes a binding agreement.

Unless otherwise agreed, payment conditions are as follows:

Payments are made in United States dollars (USD)
Payment deadlines are established in the corresponding commercial proposal
Delays in payment may suspend project execution until the account is up to date
Prices do not include applicable taxes, which will be added as appropriate

7. Limitation of Liability

Zetter provides its services with the utmost professional diligence. However, to the maximum extent permitted by applicable law:

Zetter shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use our services
Zetter’s total liability for any claim shall be limited to the amount actually paid by the client in the last six months for the specific service that gave rise to the claim
Results generated by artificial intelligence systems may vary, and Zetter does not guarantee specific results unless contractually established

8. Suspension and Cancellation

Zetter reserves the right to suspend or cancel access to its services in the following cases:

Breach of any of the obligations set forth in these terms
Non-payment within the agreed deadlines
Fraudulent or illegal use of the services
Express request by the client, subject to the cancellation terms agreed upon in the commercial proposal

Cancellation of the service does not exempt the client from outstanding payment obligations for services already rendered.

9. Modifications

Zetter may modify these Terms and Conditions at any time. Modifications will take effect upon publication on this page. It is the user’s responsibility to periodically review the terms. Continued use of the services after a modification implies acceptance of the new terms.

For substantial modifications, Zetter will make reasonable efforts to notify users through available contact channels.

10. Data Protection

The processing of personal data is governed by our Privacy Policy, available at https://zetter.ai/en/privacidad. By accepting these terms, the user acknowledges having read and understood said policy.

11. Applicable Law

These Terms and Conditions are governed by the laws of the Republic of Ecuador. Any dispute arising from the interpretation or enforcement of these terms shall be submitted to the competent courts of the city of Guayaquil, with express waiver of any other jurisdiction that may apply.
